1. Applicable terms
1.1
These Terms of Sale (“Terms”) govern all purchases made by customers (“Customer(s)”) through our online store liquidbeautyshop.com. The online store is owned and operated by Liquid Beauty Shop – Draftbaan 28, 2632gb Nootdorp, Netherlands.
1.2
These Terms apply to all products sold through our online store, including but not limited to cosmetics, medical devices, pharmaceuticals, parapharmaceuticals and consumables (collectively, “Product(s)”).
1.3
We sell Products exclusively to professionals, including doctors, aesthetic clinics, hospitals and wholesalers. We do not accept orders from individuals.
1.4
We strongly recommend that you read these Terms and Conditions carefully before making a purchase from our online store.
2. Orders
2.1
Customers can place orders through our online store 24/7. Orders are typically processed and fulfilled within 48 business hours of receipt.
2.2
After placing an order, customers will receive an initial order summary via email. This summary is not an order confirmation, and the order is not yet binding at this stage.
2.3
A binding agreement between the customer and Liquid Beauty Shop is established when the customer receives an email containing a dispatch notification, invoice, and packing slip (the “Order Confirmation”).
2.4
Once an order is placed, it becomes binding on the customer.
3. Product availability
3.1
While we strive to keep all products in our online store in stock, availability cannot be guaranteed. If we are unable to process or fulfill an order, we will either:
(i) offer the customer a substitute product of equivalent quality and price, which the customer may accept or decline, or
(ii) notify the customer that the order cannot be fulfilled.
3.2
If the customer declines the alternative product offer, or if we are unable to fulfill the order, we hold no further liability to the customer unless payment for the products has already been received. In such cases, we will refund the full amount for the unavailable products. These are the customer’s sole remedies in the event of product availability issues.
4. Customer information
4.1
The customer is responsible for providing accurate and complete information required for order fulfillment and delivery, including VAT numbers (if applicable).
4.2
If the customer updates or modifies their provided information, we reserve the right to verify the new details. This process may involve re-evaluating the customer’s account within 72 hours.
5. Shipping and delays
5.1
In-stock items are dispatched on the same day the order is confirmed or, at the latest, the next working day. Items that are out of stock are typically dispatched within 3–6 working days after confirmation.
5.2
All orders are shipped via DHL Express (1–3 working days), and a tracking number will be provided to the customer.
5.3
The maximum delivery time is 60 days from the date of order. Deliveries within Europe usually take 1–3 working days.
5.4
If an order is delayed by more than 6 working days from the confirmation date, we will notify the customer. In such cases, the customer’s sole remedy is either a credit or a refund of the purchase price (if paid), at the discretion of Liquid Beauty Shop.
5.5
Liquid Beauty Shop is not liable for delivery errors caused by incorrect or undeliverable addresses provided by the customer or changes made by the customer to delivery details during transit.
5.6
Orders cannot be collected from our warehouse in The Hague.
6. Price and payment
6.1
The price of products is as quoted on our webshop at the time of purchase, except in cases of obvious errors where it is evident or should reasonably be recognized that the price is incorrect. All prices displayed are exclusive of VAT, domestic taxes, duties, and delivery costs, which will be added to the total amount at checkout.
6.2
Prices are subject to change at any time; however, changes will not affect orders for which an Order Confirmation has already been sent to the customer.
6.3
While we strive for accuracy, some products on our webshop may occasionally be incorrectly priced. During the dispatch process, prices will be verified:

- If the correct price is lower than stated, the lower price will be charged.

- If the correct price is higher, we may, at our discretion, contact the customer for instructions before dispatching or cancel the order and notify the customer of the cancellation.
6.4
We are not obligated to provide products at an incorrect (lower) price, even after sending an Order Confirmation, if the pricing error is obvious and unmistakable and could reasonably have been recognized by the customer as a mistake.
6.5
Payment for all products must be made in full prior to order processing. Products will not be delivered until we receive full and correct payment from the customer.
6.6
We do not conduct business with EU-based customers who do not have a valid VAT number. All prices on liquidbeautyshop.com are displayed in EURO. Payment methods accepted include credit cards from Visa, MasterCard, and Maestro.
6.7
For international orders paid with a company credit card or a credit card issued outside the EU, an additional fee will be charged. The fee is displayed during the checkout process. Certain banks may apply separate credit card fees, and we advise customers to contact their bank for clarification.
6.8
For payments made via TT (telegraphic transfer) directly through the bank, customers must contact us via email to request bank details. A handling fee will be added to the invoice.
6.9
Customers paying with a credit card are subject to validation checks. We reserve the right to delay or cancel orders if fraudulent activity is suspected.
7. Compliance with applicable laws and regulations
7.1
Liquid Beauty Shop operates as an international wholesaler. Except as outlined in these Terms and Conditions, we assume no responsibility for ensuring compliance with the laws applicable to customers or products in the jurisdictions where customers are located or conduct business.
7.2
By agreeing to these Terms and Conditions, customers accept full responsibility for complying with all applicable international and local laws regarding the handling, use, and distribution of the products.
7.3
Customers warrant that they will obtain and maintain all required permits, licenses, and authorizations, and provide necessary notifications to relevant authorities for importing, marketing, and distributing the products. This includes ensuring that product packaging, labels, and information (e.g., product characteristics and package leaflets) comply with all applicable laws and regulations.
7.4
Customers warrant that they are responsible for all post-marketing obligations, including market surveillance activities, such as reporting substantial changes to product specifications, addressing adverse events, managing complaints, issuing customer notifications, and conducting recalls.
7.5
Customers warrant compliance with any handling or selling restrictions attached to the products, whether stated in these Terms and Conditions, the product packaging, or applicable laws and regulations. Customers must impose these restrictions on any subsequent buyers of the products.
8. Defects
8.1
Except as expressly provided in these Terms and Conditions, Liquid Beauty Shop makes no guarantees, express or implied, regarding the merchantability or fitness of the products for a particular purpose.
8.2
Products are deemed defect-free and accepted by the customer unless defects are reported in writing to Liquid Beauty Shop as soon as they are discovered, and no later than 3 days after receipt. The complaint must include a detailed description of the issue and any actions taken by the customer in response.
8.3
Customers, or any entitled subsequent customers, must conduct an immediate inspection of the delivered products upon receipt to identify any potential defects.
8.4
For justified and properly reported complaints, Liquid Beauty Shop is obligated, at its discretion, to:

- Reduce the price,
-
- Repair the defect,
-
- Replace the product(s), or
-
- Accept the return of the product(s) and issue a refund.
These remedies are the sole options available to the customer.

8.5
Liquid Beauty Shop does not reimburse customers for transportation costs, handling fees, taxes, duties, or other expenses incurred during the return of products.
8.6
Refunds will be issued to the original credit card used for the purchase. Shipping costs are non-refundable. Please note that refunds may take up to 29 working days to appear in the customer’s account due to varying processing times among payment providers. Customers should contact their bank for assistance in expediting this process.
8.7
Products authorized or directed by Liquid Beauty Shop for return must be returned to the specified location using the method of transportation designated by Liquid Beauty Shop (e.g., ship, air, or truck). Liquid Beauty Shop is not liable for any damage to the products during return shipment.
9. Products damaged in transit
9.1
Liquid Beauty Shop assumes the risk for shipping products to the customer. Any claims for loss, shortage, breakage, leakage, or other transit damage must be reported to Liquid Beauty Shop at sales@liquidbeautyshop.com immediately, and no later than 3 days after the customer becomes aware or should have become aware of the issue. Claims submitted beyond this deadline will not be accepted.
9.2
Claims must include relevant photographs of the loss, shortage, or damage, along with a report from the carrier. Claims lacking appropriate documentation will be rejected.
9.3
The customer is required to fully and cooperatively assist Liquid Beauty Shop in pursuing a claim against the carrier.
9.4
The customer’s sole and exclusive remedy for transit-related damages is either a replacement order or a refund of the purchase price, at Liquid Beauty Shop’s discretion. The customer waives all other remedies, including claims for indirect or consequential damages.
9.5
Liquid Beauty Shop is not responsible for transit-related damages amounting to less than EUR 100 per order.
10. Liability
10.1
Liquid Beauty Shop’s liability is governed by the applicable rules of Dutch law, subject to the exclusions and limitations outlined in these Terms.
10.2
Liquid Beauty Shop is not liable for indirect damages or losses, including but not limited to claims unrelated to the products, loss of profits, production downtime, loss of goodwill, operating losses, or any other indirect or consequential damages.
10.3
Liquid Beauty Shop’s total liability for any claims, including damages or refunds, is limited to an amount equal to the purchase price paid for the specific products related to the claim. This monetary cap applies regardless of the legal basis of the claim, including negligence (ordinary or gross), strict liability, or product liability.
10.4
All claims, including those for breach of contract, defects, or delays, must be submitted within 3 months of the delivery date. Claims submitted after this period will be considered waived and barred, even if the customer knew or should have known of the claim.
11. Third party rights
11.1
Liquid Beauty Shop shall not be held liable for any infringement of third-party intellectual property rights caused by the Products.
11.2
If the Customer receives notice or becomes aware of any claim, action, or demand related to alleged infringement of intellectual property rights by the Products, the Customer must promptly inform Liquid Beauty Shop.
12. Product liability
12.1
Liquid Beauty Shop accepts no liability for personal injury or damage to other property caused by the Products unless such liability is mandated by applicable law.
12.2
Liquid Beauty Shop shall not be liable for any property damage caused by the Products after delivery or while in the Customer’s possession, including damage to goods manufactured by the Customer or products incorporating the Customer’s goods.
12.3
The total liability of Liquid Beauty Shop for any claims arising from the Products shall not exceed the purchase price of the specific Products that give rise to the claim in any given year, except in cases involving personal injury.
12.4
If Liquid Beauty Shop is held liable for damages to a third party for which the Customer is legally responsible, the Customer must indemnify Liquid Beauty Shop to the extent Liquid Beauty Shop’s liability is limited under this clause, including instances where Liquid Beauty Shop is found liable without proof of negligence or failure.
12.5
Liquid Beauty Shop reserves the right to bring a claim against the Customer in the same jurisdiction where a third party has initiated a claim against Liquid Beauty Shop in relation to product liability disputes involving the Products.
13. Adverse event reporting and recall
13.1
The Customer must report any adverse event to Liquid Beauty Shop within 5 days of becoming aware of it. Adverse events include:
(i) Any malfunction, defect, or deterioration in the Product’s performance or labeling/instructions that directly or indirectly causes, may cause, or may have caused death or serious health deterioration.
(ii) Any technical or medical issue with the Product that leads to a systematic recall of similar Products by the Customer.
13.2
The Customer must immediately notify Liquid Beauty Shop of any information regarding the Products, including potential intellectual property rights infringements, that may reasonably be of significance to Liquid Beauty Shop.
13.3
If a recall is initiated, Liquid Beauty Shop will notify the Customer immediately and provide instructions for returning affected Products. The scope of recall actions required of the Customer will be determined by Liquid Beauty Shop on a case-by-case basis. The Customer must comply with these instructions unless they conflict with applicable laws or regulations.
The Customer is required to:

- Provide documentation of government recall notices and notices sent to downstream customers.
-
- Bear its own costs related to the recall.
-
- Assist Liquid Beauty Shop as reasonably required in executing the recall.
14. Taxes and other charges
14.1
The Customer is solely responsible for all taxes, fees, duties, commissions, and other charges (“Charges”) related to the purchase, sale, export, or import of the Products. This includes any Charges imposed in connection with their business operations, regardless of whether they pertain directly to the Products.
14.2
Liquid Beauty Shop shall not be held responsible for any Charges imposed by tax or customs authorities in the recipient country, nor for those arising from the shipment of Products. The Customer is fully responsible for these payments.
14.3
Liquid Beauty Shop accepts no liability for delays caused by the seizure or detention of Products by tax or customs authorities.
15. Extraordinary circumstances
15.1
Liquid Beauty Shop shall not be liable for any loss or damage resulting from delays or failure to fulfill its obligations under these Terms due to Extraordinary Circumstances beyond its reasonable control.
16. Governing law and venue
16.1
These Terms, including any disputes regarding their existence or validity, shall be governed by Dutch law. Conflict of law rules that might otherwise apply another jurisdiction’s laws, as well as the United Nations Convention on Contracts for the International Sale of Goods (CISG), are expressly excluded.
16.2
All disputes arising out of or in connection with these Terms, including disputes about their validity, shall be resolved exclusively by the ordinary courts of the Netherlands.
16.3
For Clients based in countries that do not have a mutual convention on judgment recognition with the Netherlands but are parties to the New York Arbitration Convention, disputes shall be resolved through arbitration administered by the Netherlands Arbitration Institute. Arbitration will proceed under the Institute’s rules, with a sole arbitrator acting as the tribunal chair. The arbitration will take place in The Hague, the Netherlands.
16.4
Notwithstanding the above, Liquid Beauty Shop reserves the right to initiate legal proceedings in the Customer’s home jurisdiction.
17. BIG Registration and Orders
17.1
Our products are exclusively available to healthcare professionals with a valid BIG registration.
17.2
The customer is required to provide a correct and valid BIG number when placing an order.
17.3
By placing an order, the customer expressly declares, under their own responsibility, that they hold a valid BIG registration.
17.4
The seller reserves the right to verify the BIG number provided via the official BIG register.
17.5
If, upon verification, the BIG number proves to be invalid or incorrect, the order will be cancelled. Any payments already made will be fully refunded to the customer’s account within [5] working days.
17.6
The seller is not liable for any damages resulting from the provision of false or invalid BIG details by the customer.
